These Terms govern access to and use of EarnOn Brands, a brand-to-creator marketplace module operated by Bizionic Technologies Midwest Inc. ("EarnOn", "we", "us", "our") as part of the EarnOn.ai platform. By registering as a Brand or Creator on EarnOn Brands, you agree to be bound by these Terms in their entirety.

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE BINDING ARBITRATION PROVISIONS, A CLASS ACTION WAIVER, AND PROVISIONS THAT LIMIT OUR LIABILITY TO THE AMOUNT HELD IN ESCROW FOR THE RELEVANT DEAL.

 

 

Part 1 — Definitions

The following defined terms apply throughout this Agreement:

 

"Platform"

EarnOn Brands, a module of EarnOn.ai, operated by Bizionic Technologies Midwest Inc.

"Brand"

A company or individual that has completed onboarding, passed admin verification, and uses the Platform to post campaigns and engage creators.

"Creator"

An EarnOn.ai user who has opted into the Brand Partner Programme and uses the Platform to apply for or accept brand deals.

"Campaign"

A brief posted by a Brand specifying content requirements, deal type, budget, targeting, rights, and optional performance bonuses.

"Deal"

A binding agreement between a Brand and a Creator for the creation and delivery of specific content, formed upon mutual acceptance of a bid or direct invite.

"Bid / Application"

A Creator's offer to fulfil a Campaign submitted via the Open Call mechanism, including a proposed price and pitch.

"Direct Invite"

A Brand's proactive offer sent to a specific Creator to participate in a Campaign, including a proposed price.

"Agreed Price"

The EAON amount mutually accepted by Brand and Creator as total compensation for a Deal, following any negotiation.

"EAON"

The EarnOn utility token used as the sole currency for all transactions within the Platform. 1 EAON = approximately USD 0.377 at seed rate; market rate applies at time of any transaction.

"Escrow"

The held state of EAON funds deposited by the Brand following Deal acceptance, managed by EarnOn pending Deal completion or resolution.

"Deliverable"

Content produced by the Creator and submitted via the Platform as proof of fulfilment of the Campaign brief.

"Application Fee"

The 10 EAON non-refundable fee charged to a Creator upon submission of an Open Call application.

"Commission"

The 10% fee deducted from the Creator's payout upon Deal completion, retained by EarnOn as platform revenue. Brands are not charged commission.

"Kill Fee"

25% of the Agreed Price, paid to the Creator automatically if a Brand cancels a Deal after it has reached In Progress status.

"Open Call"

A Campaign visible to all eligible Creators on the Platform, to which Creators may apply by submitting a Bid.

"Invite Only"

A Campaign visible only to Creators specifically invited by the Brand.

"Product Seeding"

A Deal type involving no cash payment, in which the Brand ships a physical product to the Creator in exchange for honest content.

"Hybrid Deal"

A Deal type combining a cash component (governed by Escrow provisions) and a physical product component (governed by Product Seeding provisions).

"Performance Bonus"

An optional additional EAON amount funded by the Brand at Escrow time, released to the Creator if specified engagement metrics are achieved within the measurement window.

"Double-Blind Review"

A ratings mechanism in which neither party's rating is published until both parties have submitted their rating, or 14 days have elapsed since Deal completion, whichever comes first.

"Brand Deal Score"

A computed score (0-100) assigned to each Creator reflecting completed Deals, ratings, dispute history, and response time.

"Admin"

EarnOn staff responsible for verification, moderation, dispute resolution, and compliance.

"In Progress"

The Deal status that activates after Escrow is funded (Paid/Hybrid) or shipment is confirmed (Seeding), and from which the Kill Fee applies on cancellation.

 

 

Part 2 — Eligibility & Account Registration

2.1  General Eligibility

  You must be at least 18 years of age to register on EarnOn Brands.

  You must hold a valid EarnOn.ai account in good standing.

  By registering as a Brand, you represent that you have the legal authority to bind the company named in your account.

  Users in jurisdictions subject to applicable sanctions or export controls are prohibited from using the Platform.

2.2  Brand Onboarding — 4 Steps

Brands must complete the following four steps before accessing deal-related features:

 

1.  Account Details — Company name, contact name, role, and work email linked to an existing EarnOn account.

2.  Business Information — Industry, country of registration, optional website, business registration number, and Tax ID/EIN. Tax ID/EIN is not required at signup but is required before any Escrow release on a first Deal.

3.  Verification Documents — Business registration document, Tax ID/EIN letter, company logo, and optional supporting documents. Admin review SLA: 24 hours.

4.  Review and Submit — Brand submits for Admin verification. While under review, Brands may draft Campaigns and browse Creators but may not publish Campaigns, fund Escrow, or message Creators.

 

Brands operating in restricted categories (Gambling, Adult content, Alcohol in UAE) cannot be approved regardless of documentation. See Part 9 for the full Category Restrictions table.

2.3  Creator Brand Partner Profile

Creators opt into EarnOn Brands by completing a Brand Partner Profile specifying: content categories (up to 5), minimum deal price in EAON, deal types accepted, invite preference, content languages, and connected platforms. Participation is voluntary and does not guarantee receipt of Deals.

2.4  Team Roles (Brand Accounts)

A Brand account supports multiple team members assigned one of the following roles. The Brand Owner is responsible for all team member actions.

Part 3 — Campaigns

3.1  Campaign Creation

By submitting a Campaign for Admin moderation, the Brand represents and warrants that:

  All content in the brief, scripts, imagery, and linked assets is owned by or licensed to the Brand. The Brand confirms this by checking the IP Indemnification checkbox (Step 4). This is enforced server-side and cannot be bypassed.

  The Campaign does not violate any applicable law, regulation, or third-party rights.

  Any collateral folder link provided is publicly accessible without requiring a sign-in.

  Content rights terms (usage window, non-compete, whitelisting) are legally enforceable and disclosed to creators before application.

  The brief instructs creators to include FTC-compliant disclosures (#ad or equivalent).

3.2  Campaign Moderation

All Campaigns are reviewed by Admin before going live. Standard SLA: 4 hours. Admin checks: brief content (no prohibited claims), IP indemnification (server-side confirmed), collateral link accessibility, rights terms, FTC disclosure instruction, and category compliance. EarnOn may reject any Campaign that would violate these Terms or applicable law.

3.4  Close vs Cancel

This distinction is enforced by the Platform. Brands cannot accidentally trigger Kill Fees via a Close action.

 

  Close: A Campaign with no Deals in In Progress status may be Closed. Zero financial impact. All pending Bids are automatically declined.

  Cancel: A Campaign with one or more In Progress Deals may only be Cancelled. The Kill Fee (25% of Agreed Price per Deal) is triggered. The Brand must type "CANCEL" to confirm. Cancellation is irreversible.

 

 

Part 4 — Deals, Bids & Negotiation

4.1  Open Call Applications

  Any Creator with a verified Brand Partner Profile may apply to an Open Call Campaign.

  Applying costs 10 EAON (Application Fee), deducted from the Creator's eWallet at submission.

  Application Fees are non-refundable except where the Brand cancels the Campaign before reviewing any applications — in which case all application fees for that Campaign are refunded.

  A Creator who does not meet all stated requirements may still apply. Eligibility flags are informational and non-blocking. The Brand decides.

  Direct Invites carry no Application Fee for the Creator.

4.2  Price Negotiation — 2-Round Cap

EarnOn enforces a maximum of 2 negotiation rounds per Deal, server-side. This cap cannot be overridden by either party.

 

  Round 1: Either party submits a counter-offer.

  Round 2: The other party submits a final counter-offer. No further counter-offers are accepted by the server.

  After Round 2, the receiving party must Accept or Reject. No third round is possible.

  All negotiation is conducted on-platform and on-record. Verbal amendments or off-platform price changes are not recognised by EarnOn and are not enforceable through the Platform's dispute mechanism.

 

Any attempt to agree a different price off-platform constitutes a breach of these Terms and voids the Platform's payment protections.

4.3  Deal Formation

A Deal is legally formed at the moment the Brand accepts a Bid or the Creator accepts a Direct Invite. At that moment: the Agreed Price is locked; the Campaign brief, rights terms, and bonus tiers become binding contract terms; and a Deal record is created at status awaiting_escrow (Paid/Hybrid) or awaiting_address (Seeding).

Part 5 — Platform Verification & Audience Data

5.1  Verification Methods

  OAuth Verification: EarnOn connects to the platform API with the Creator's authorisation. Applies to TikTok, Instagram, YouTube, and LinkedIn.

  Screenshot Verification: Creator uploads a screenshot reviewed by Admin before the profile is approved. Applies to Facebook, X (Twitter), Pinterest, Reddit, and OnlyFans.

  EarnOn Native: Applied automatically from EarnOn.ai platform data.

 

OAuth verification confirms account ownership only. It does not verify that the audience is genuine. Audience Quality Status (clean, review_needed, or flagged) is a separate assessment shown independently on all Bid rows.

5.2  Audience Quality

EarnOn monitors creator accounts for audience quality signals. Creators with flagged audiences are clearly marked on all Bid rows and Creator cards. Brands are not blocked from accepting bids from flagged creators. EarnOn does not guarantee the authenticity of any Creator's audience.

Accepting a bid from a Creator with a flagged audience quality status is at the Brand's own risk. EarnOn is not liable for engagement rates or ROI outcomes.

5.3  Reddit — Special Notice

Many Reddit subreddits explicitly prohibit disclosed sponsored content regardless of FTC compliance. Before posting content on Reddit, Creators are responsible for reviewing the specific rules of each subreddit. EarnOn does not verify subreddit-specific policies.

 

 

Part 6 — Payments, Escrow & Fees

6.1  EAON Token

All payments within EarnOn Brands are made in EAON, a closed-loop utility token. There is no fiat currency on-ramp or off-ramp within the Brand Marketplace. All deposits and withdrawals are handled through the EarnOn eWallet. The seed rate of 1 EAON = approximately USD 0.377 is a reference rate only; market rate governs at the time of any transaction.

6.2  Fee Principles

EarnOn charges fees to Creators only — never to Brands. Brands pay exactly the Agreed Price at Escrow funding. Zero is added at checkout, at Escrow funding, or at any other point. The 10% Platform Commission is deducted from the Creator's payout, not added to the Brand's payment.

6.3  Escrow Mechanics

  Upon accepting a Paid or Hybrid Deal, the Brand must fund Escrow equal to the Agreed Price plus any Performance Bonus pool before chat is unlocked and the Creator begins work.

  Escrow is held by EarnOn. It is not accessible to the Brand or Creator during the active Deal period.

  For Product Seeding Deals: no Escrow is required or funded. Chat unlocks when the Brand confirms shipment.

  For Hybrid Deals: Escrow must be funded AND shipment confirmed before chat unlocks. Both are required; either may be completed first.

6.4  Escrow Release Conditions

Escrow is released, refunded, frozen, or never created under exactly the following conditions and no others:

6.5  72-Hour Auto-Release

If a Brand does not Approve, Request Revision, or raise a Dispute within 72 hours of a Creator submitting a Deliverable, EarnOn's automated system releases Escrow to the Creator as if the Brand had approved. The Brand waives any right to dispute the Deliverable after auto-release, except where the Brand can demonstrate that the Platform's technical systems prevented timely action.

 

Brands are responsible for reviewing submitted Deliverables within 72 hours. Failure to act within this window constitutes acceptance of the Deliverable.

6.6  Kill Fee

  25% of the Agreed Price is immediately released to the Creator upon campaign cancellation post-in_progress.

  75% of the Agreed Price is refunded to the Brand's eWallet.

  The full Performance Bonus pool is refunded to the Brand.

  The Kill Fee rate is platform-wide, non-negotiable, and non-configurable. It cannot be amended per Campaign or by agreement between Brand and Creator.

  The Kill Fee is the Creator's sole remedy for Brand cancellation post-in_progress. Creators cannot claim additional compensation through the dispute mechanism on the grounds of cancellation alone.

6.7  Performance Bonuses

  Bonus tiers are optional. If set, the full Bonus Pool is funded upfront alongside the base Escrow at the time of Deal acceptance.

  Measurement window: 30 days from the date the Creator's post goes live.

  Verification tiers: (a) EarnOn-native posts — automatic; (b) External platform posts — Creator submits screenshot, Admin confirms; (c) Admin manual — fallback.

  Achieved tiers are released to the Creator after verification. Unachieved tiers are refunded to the Brand in full. Unachieved tiers do not become platform revenue.

  EarnOn does not guarantee that any Creator will achieve any Bonus threshold.

 

 

Part 7 — Content, Rights & Compliance

7.1  Creator Content Obligations

By submitting a Deliverable, the Creator warrants that the content: is original and does not infringe third-party intellectual property rights; complies with the Campaign brief including all stated requirements; includes all required disclosures (#ad applied server-side for EarnOn-native posts and cannot be removed; self-attested for external platform posts with Admin spot-check); and has not been and will not be submitted under any competing arrangement.

7.2  Content Usage Rights

  Usage Rights Window: the number of days from content approval during which the Brand may use the content for organic purposes. EarnOn monitors the post URL until the window expires.

  Ad Whitelisting (Meta / TikTok Spark Ads): if requested, the Creator must separately authorise whitelisting on the relevant ad platform after accepting the Deal. Accepting a Deal does not automatically grant whitelisting. The Brand may not use Creator content for paid advertising until the Creator completes the platform-native authorisation.

  Non-Compete Window: the Creator agrees not to post content promoting competing brands in the specified category for the stated number of days.

  Raw Footage: if required, the Creator must deliver unedited source files. Raw footage may only be used by the Brand for the purposes specified in the Campaign brief.

7.3  FTC Disclosure Compliance

  All sponsored content must include a clear and conspicuous disclosure (e.g. #ad or "Paid partnership") in compliance with FTC Endorsement Guidelines and equivalent regulations in the Creator's jurisdiction.

  For EarnOn-native posts: #ad is applied server-side and is non-removable.

  For external platform posts: Creator self-attests disclosure. Admin spot-checks before Escrow release. Missing disclosure results in the Deliverable being returned for revision.

  EarnOn is not liable for Creator non-compliance with disclosure regulations.

7.4  IP Indemnification

By confirming the IP Indemnification checkbox during Campaign creation, the Brand warrants that it owns or holds a valid licence to all intellectual property in the Campaign brief, scripts, imagery, and assets, and agrees to indemnify EarnOn against any third-party claims arising from the Brand's use of such intellectual property.

7.5  Usage Rights Monitoring

EarnOn monitors Deliverable URLs until the usage rights window expires. For EarnOn-native posts: monitoring is fully automated. For external platform posts: monitoring is limited to URL-reachability (i.e. EarnOn can detect a post being taken down but cannot verify edits within a live post). If a Creator removes or substantially alters a Deliverable before the window expires, the Brand may raise a Dispute within 7 days of EarnOn flagging the issue.

 

 

Part 8 — Product Seeding

8.1  Nature of Seeding Deals

Product Seeding Deals involve no cash payment. The Brand provides a product; the Creator creates and posts content in exchange. No Escrow is funded, no Commission is charged, and no Kill Fee applies to the product component. Seeding Deals are binding agreements governed by these Terms in all respects except payment-specific provisions.

8.2  Shipping Address Privacy

  Creator shipping addresses are collected by EarnOn directly from the Creator, encrypted at rest, and never transmitted to the Brand in any API response or dashboard view.

  Brands confirm shipment via the Ship Product modal, which displays only the Creator's name and country. The full address is embedded in a pre-generated shipping label PDF available for download. The label expires within 1 hour of generation.

  Brands must print and attach the label to their parcel. They may not copy, store, or use the address for any purpose beyond fulfilling the Deal.

 

Any attempt by a Brand to obtain, record, or use a Creator's shipping address outside of the label download mechanism constitutes a serious breach of these Terms and grounds for immediate account termination.

8.3  Shipment Confirmation & Chat Unlock

  Chat between Brand and Creator is locked until the Brand confirms shipment via the Ship Product modal, providing a valid carrier and tracking number.

  The Brand warrants that the tracking number provided is accurate and corresponds to the actual shipment of the agreed product.

  Providing a false tracking number to unlock chat without shipping the product constitutes fraud and grounds for immediate account termination and dispute resolution in the Creator's favour.

8.4  Creator Posting Obligations (Seeding)

  The Creator agrees to create and publish content featuring the shipped product within the timeframe specified in the Campaign brief.

  The Creator is not obligated to give a positive review. Seeding Deals are for authentic content, not guaranteed endorsements.

  If a Creator receives a product and fails to post without legitimate cause, the Brand may raise a Dispute. Admin may take action against the Creator's account and Brand Deal Score.

  EarnOn does not guarantee that a Creator will post content following receipt of a seeded product.

 

 

Part 9 — Administration, Moderation & Disputes

9.1  Admin Authority

EarnOn Admin has sole and final authority over: brand verification; campaign moderation; disclosure spot-checks; audience quality assessments; bonus tier verification; usage rights monitoring; dispute resolution; and category restriction enforcement. Admin decisions are final. Neither Brands nor Creators may appeal an Admin decision through the Platform's dispute mechanism.

9.3  Dispute Process

1.  Either party may raise a Dispute via the Platform's dispute function at any point after Escrow is funded and a Deliverable has been submitted.

2.  On Dispute creation, Escrow is frozen immediately. Neither party may access Escrow funds during an active Dispute.

3.  Admin reviews all available evidence: the Campaign brief, the Deliverable(s), the in-platform message thread, and any supporting screenshots. Admin may request additional evidence.

4.  Admin SLA for dispute resolution: 72 hours from creation.

5.  Admin may resolve as: (a) Brand win — full Escrow refunded to Brand; (b) Creator win — Escrow released to Creator (90%/10% split); (c) Split — custom percentage.

6.  Admin's decision is final and binding. Not subject to further appeal within the Platform.

7.  EarnOn's liability in any Dispute is limited to the amount held in Escrow for the relevant Deal.

 

 

Part 10 — Ratings & Reviews

10.1  Double-Blind Review System

  Upon Deal completion, both parties are prompted to submit a rating (1-5 stars) and an optional written comment.

  Neither party's rating is visible to the other until both have submitted, or 14 days have elapsed since Deal completion — whichever comes first.

  The publication timestamp (visible_at) is computed server-side. It is not client-supplied and cannot be manipulated by either party.

  Published ratings and comments are permanent and public. EarnOn removes published ratings only where the content violates EarnOn's Content Policy or applicable law.

10.2  Obligations

  Ratings must reflect genuine first-hand experience of the Deal. Fabricated, retaliatory, or incentivised ratings are prohibited.

  Written comments must not contain personal attacks, discriminatory language, or content that violates EarnOn's Content Policy.

  Ratings submitted in bad faith or in retaliation for a legitimate dispute may result in account suspension.

 

 

Part 11 — Privacy & Data

11.1  Key Data Handling Practices

  Creator shipping addresses are encrypted at rest and never transmitted to Brands in plain text. Used solely for generating shipping labels for Seeding Deals.

  Shipping labels expire within 1 hour of generation. Brands may not copy, store, or redistribute the embedded address.

  Deal message thread content is retained for a minimum of 90 days after Deal completion to support dispute resolution.

  OAuth platform data (follower counts, engagement rates) is pulled at connection and periodically refreshed. Used only for profile display and eligibility checks.

11.2  GDPR Compliance

For users in the European Economic Area, EarnOn processes personal data under the legal bases of contract performance (Art. 6(1)(b) GDPR) and legitimate interests (Art. 6(1)(f) GDPR). Users may exercise their data subject rights by contacting support@earnon.ai.

11.3  Data Retention

Deal records including application data, Escrow records, Deliverables, and message threads are retained for 7 years following Deal completion. Creator shipping addresses are deleted 90 days after the Deal completion date.

 

 

Part 12 — Prohibited Conduct

12.1  Both Parties

  Conducting any portion of a Deal's negotiation, payment, or content exchange outside the Platform (off-platform disintermediation).

  Providing false information during registration, onboarding, or Campaign creation.

  Circumventing Escrow by agreeing to alternative payment arrangements.

  Harassing, threatening, or abusing the other party via Platform messaging.

  Using the Platform to facilitate illegal activity including fraud, money laundering, or copyright infringement.

12.2  Brands Specifically

  Posting Campaigns in restricted or blocked categories.

  Submitting a Campaign without holding necessary rights to all included assets.

  Providing false tracking numbers to unlock chat without shipping the product.

  Attempting to access, record, or use a Creator's shipping address outside the label download mechanism.

  Requesting content that violates FTC disclosure requirements or applicable advertising laws.

12.3  Creators Specifically

  Submitting Deliverables that do not comply with the Campaign brief and representing them as compliant.

  Purchasing followers, engagement, or fake audience metrics.

  Accepting payment or benefits from a third party in connection with content submitted under a Deal.

  Removing or substantially altering a Deliverable before the usage rights window expires without Brand consent.

 

Violations may result in immediate account suspension, permanent ban, forfeiture of held Escrow, and referral to appropriate authorities where applicable.

 

 

Part 13 — Limitation of Liability

13.1  Platform Role

EarnOn operates as an intermediary marketplace. EarnOn is not a party to any Deal between a Brand and a Creator. EarnOn does not guarantee the quality, accuracy, or performance of any content produced or any campaign outcome achieved through the Platform.

13.2  Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EARNON'S TOTAL LIABILITY TO ANY BRAND OR CREATOR FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF EAON HELD IN ESCROW FOR THE SPECIFIC DEAL TO WHICH THE CLAIM RELATES; OR (B) USD 500.

13.3  Exclusions

EarnOn is not liable for: loss of revenue, profits, business, data, or goodwill; content performance outcomes including engagement rates or ROI; actions or omissions of any Brand or Creator; audience quality or authenticity; third-party platform API failures or OAuth token revocations; or delays in Admin review within stated SLA windows resulting from circumstances outside EarnOn's reasonable control.

13.4  Force Majeure

EarnOn is not liable for delays or failures resulting from events beyond its reasonable control including natural disasters, government actions, strikes, internet infrastructure failures, or third-party platform outages.

 

 

Part 14 — Termination

14.1  By EarnOn

EarnOn may suspend or terminate any account at any time, with or without notice, for: violation of these Terms; conduct harmful to the Platform, other users, or EarnOn's reputation; fraudulent activity; or repeated failed transactions. On termination, Escrow held for active Deals will be resolved through the dispute process. Terminated accounts forfeit any pending Application Fee refunds.

14.2  By User

Brands and Creators may close their account via account settings. Active Deals must be completed or resolved before full closure. Pending Escrow follows the Deal lifecycle until released or refunded. Published reviews remain on the counterparty's profile after account closure.

 

 

Part 15 — Governing Law & Dispute Resolution

15.1  Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. For users in the European Union, mandatory consumer protection provisions of the user's country of residence also apply.

15.2  Informal Resolution

Before initiating formal proceedings, both parties agree to attempt good-faith resolution by contacting EarnOn at partners@earnon.ai and allowing 30 days for EarnOn to respond.

15.3  Binding Arbitration

Subject to applicable consumer protection laws, any dispute arising from or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration shall take place in Chicago, Illinois.

CLASS ACTION WAIVER: You waive any right to participate in a class action lawsuit or class-wide arbitration against EarnOn. Each claim must be brought individually.

15.4  EU / UK Users

Nothing in these Terms limits your statutory rights under EU or UK consumer protection law. EU users may access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

 

 

Part 16 — General Provisions

16.1  Amendments

EarnOn may amend these Terms at any time. Material changes will be notified via the Platform's notification system and by email at least 14 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the amended Terms.

16.2  Entire Agreement

These Terms, together with EarnOn's Privacy Policy and Content Policy, constitute the entire agreement between the parties and supersede all prior agreements, representations, or understandings.

16.3  Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.

16.4  No Waiver

EarnOn's failure to enforce any right or provision is not a waiver of that right or provision.
