1. INTRODUCTION, PURPOSE & LEGAL EFFECT

These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between you (“User”, “you”, “your”) and EarnOn.ai governing your access to and use of the EarnOn.ai website, mobile applications, dashboards, APIs, tools, wallet systems, and related services (collectively, the “Platform”).

These entities are collectively referred to as “EarnOn.ai”, “we”, “us”, or “our”.

By accessing, registering on, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree, you must immediately discontinue use of the Platform.

 

2. STRUCTURE OF THE EARNON.AI AGREEMENT

Your contractual relationship with EarnOn.ai includes the following documents (collectively, the “EarnOn.ai Agreement”):

1.    These Terms of Service (Master Agreement)

2.    Contract Between Subscriber and Creator

3.    Platform-to-Business Regulation Terms

4.    Referral Program Terms

5.    Complaints Policy

6.    E-Wallet Terms and Conditions

7.    Tax & Applicable Charges Policy

Additional policies, including Acceptable Use Policy, Refund Policy, DMCA Policy, Appeals Policy, and Community Guidelines, apply by reference.

In the event of conflict, these Terms prevail unless mandatory law requires otherwise.

 

3. NATURE OF THE PLATFORM & INTERMEDIARY STATUS

EarnOn.ai operates as a technology-enabled marketplace and payment facilitation platform.

3.1 Services Provided

EarnOn.ai provides infrastructure enabling:

·         Creators to offer digital content or services;

·         Subscribers to purchase access to such content;

·         Subscription management and recurring billing;

·         E-wallet functionality;

·         Discovery, recommendation, and engagement tools.

3.2 Intermediary Disclaimer

EarnOn.ai:

·         Does not create, produce, verify, endorse, or supervise content;

·         Does not employ Creators;

·         Is not a party to Subscriber–Creator contracts;

·         Does not guarantee quality, legality, accuracy, or performance.

All Creator Interactions occur directly between Users acting independently.

 

4. ELIGIBILITY & ACCOUNT REGISTRATION

4.1 General Eligibility

You must:

·         Be at least 18 years of age;

·         Have legal capacity to contract;

·         Not be subject to sanctions or legal prohibition;

·         Provide accurate and current information;

·         Comply with all applicable laws.

EarnOn.ai reserves the right to approve, reject, suspend, or terminate accounts at its sole discretion.

4.2 Subscriber Accounts

Subscribers may:

·         Register an account;

·         Purchase subscriptions or content;

·         Manage billing information;

·         Access content subject to payment.

4.3 Creator Accounts

Creators must additionally:

·         Complete identity and age verification;

·         Provide payout and tax information;

·         Independently set pricing;

·         Upload lawful content;

·         Comply with all Platform policies.

Failure to maintain eligibility may result in suspension or termination.

 

5. USER REPRESENTATIONS & OBLIGATIONS

By using the Platform, you represent and warrant that:

·         All provided information is accurate;

·         You will not misuse or exploit the Platform;

·         You will not attempt to circumvent fees or controls;

·         You will comply with applicable law.

You are solely responsible for your conduct.

 

6. CONTENT OWNERSHIP & RESPONSIBILITY

6.1 Ownership

Creators retain ownership of their content.
Uploading content does not transfer ownership to EarnOn.ai.

6.2 Responsibility

Creators are solely responsible for:

·         Content legality;

·         Intellectual property rights;

·         Required permissions and consents;

·         Compliance with law.

EarnOn.ai does not pre-screen content and disclaims responsibility for user-generated material.

 

7. LICENSE TO EARNON.AI

By uploading content, you grant EarnOn.ai a non-exclusive, worldwide, royalty-free, sublicensable license to host, reproduce, display, distribute, and process such content solely for operating, securing, and improving the Platform.

This license survives termination where required by law or legitimate business purposes.

 

8. SUBSCRIPTIONS, PAYMENTS & PRICING

8.1 Payments

a. Payments are processed through independent third-party payment providers.
b. EarnOn.ai deducts a 10% platform fee from each successful Fan Payment.
c. The remaining 90% constitutes Creator Earnings, subject to taxes, refunds, chargebacks, fraud reviews, regulatory holds, or policy violations.
d. Prices are displayed in USD unless otherwise specified.
e. Applicable VAT, GST, sales tax, or similar indirect taxes may be added.
f. By submitting payment details, you authorize recurring and one-time charges.
g. If a primary payment method fails, alternative saved payment methods may be charged.

 

8.2 Subscriptions

8.2.1 Structure

A Subscription is a binding recurring monthly agreement (30-day cycle) between Subscriber and Creator granting access to subscription-based content.

Creators independently set subscription pricing.

Subscription access does not include separately priced content unless stated.

 

8.2.2 Automatic Renewal

By selecting “Subscribe”:

·         You agree to begin a recurring monthly subscription;

·         The subscription automatically renews every 30 days;

·         Renewal occurs at the then-current price plus applicable taxes;

·         You authorize automatic recurring billing without further notice.

Automatic renewal will not occur if:

·         Payment fails;

·         You cancel before renewal;

·         Pricing increases and acceptance is required by law;

·         Your account is suspended or terminated.

 

8.2.3 Cancellation

You may cancel at any time via account settings.

·         Cancellation prevents future billing only;

·         No refunds or prorated adjustments for current cycle;

·         Access continues until the current billing period expires;

·         Prepaid fees are non-refundable except where required by law.

 

8.2.4 Refunds & Chargebacks

Subscription payments are non-refundable once processed.

If a chargeback is initiated:

·         Access may be suspended;

·         Accounts may be restricted or terminated;

·         Reversed funds may be recovered from wallet balances or future transactions;

·         Creator Earnings may be adjusted.

Fraudulent disputes may result in permanent account termination.

 

8.2.5 Platform Role

Subscriptions constitute a direct contract between Subscriber and Creator.

EarnOn.ai facilitates payment but is not a party to the underlying contract.

Creators are responsible for fulfilling subscription obligations.

 

9. E-WALLET

The EarnOn.ai E-Wallet:

·         Is a closed-loop stored value system;

·         Is not a bank account;

·         Does not earn interest;

·         Is governed by separate terms.

Wallet misuse may result in forfeiture.

 

10. CREATOR EARNINGS & PAYOUTS

·         Earnings may be subject to holding periods (5–21 days);

·         Minimum payout thresholds apply;

·         Payouts may be delayed for fraud or compliance review;

·         Chargebacks may offset balances;

·         All payouts are final once processed.

 

11. TAX COMPLIANCE

Users are solely responsible for tax reporting and payment.

EarnOn.ai may collect, withhold, or report taxes where legally required.

EarnOn.ai does not provide tax advice.

 

12. SUSPENSION & TERMINATION

EarnOn.ai may suspend or terminate accounts:

·         For breach of these Terms;

·         For suspected fraud or unlawful conduct;

·         To comply with legal obligations;

·         Without prior notice for serious violations.

Fraud-derived earnings may be forfeited.

 

13. PLATFORM INTELLECTUAL PROPERTY

Except for user-generated content:

EarnOn.ai owns all rights to its software, branding, infrastructure, and systems.

No rights are granted except as expressly stated.

 

14. DISCLAIMERS

The Platform is provided “as is” and “as available.”

EarnOn.ai disclaims all implied warranties to the fullest extent permitted by law.

 

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

·         EarnOn.ai is not liable for indirect, incidental, or consequential damages;

·         Service availability is not guaranteed;

·         Aggregate liability is limited to amounts paid to EarnOn.ai in the preceding six months.

Mandatory consumer protections remain unaffected.

 

16. INDEMNIFICATION

You agree to indemnify and hold harmless EarnOn.ai from claims arising out of:

·         Your use of the Platform;

·         Your content or services;

·         Your breach of these Terms;

·         Your violation of law or third-party rights.

 

17. MODIFICATIONS

EarnOn.ai may amend these Terms at any time.
Continued use constitutes acceptance.

 

18. GOVERNING LAW & DISPUTE RESOLUTION

India

·         Governed by the laws of India;

·         Arbitration under the Arbitration and Conciliation Act, 1996;

·         Seat: Hyderabad, India.

United States & Global

·         Governed by Illinois law;

·         Exclusive jurisdiction: Chicago, Illinois;

·         Mandatory consumer protections apply where required.

 

19. ASSIGNMENT & SEVERABILITY

You may not assign rights without consent.
EarnOn.ai may assign freely.
Invalid provisions do not affect the remainder.

 

20. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and EarnOn.ai and supersede prior agreements.
