Terms of Service Overview
Below is an overview of our Terms of Service for the EarnOn "Platform," meaning the EarnOn website, mobile applications, and related services, including EarnOn Events. Please also read the full Terms of Service below, which is our legally binding agreement with you. It covers your legal rights, including limitations of liability, dispute resolution by arbitration rather than a court, and a class action waiver.
Your Relationship with EarnOn
By using our Platform, you agree to these Terms of Service. If you break the rules, we may restrict your Content, suspend or terminate your account, or withhold funds pending review, as described below.
Hosts, Guests, and Events
Hosts create and list physical events on EarnOn Events — anything from a private yacht party to a family wedding to a village festival. Hosts set their own event details, ticket tiers, pricing, and cancellation policy within the ranges EarnOn permits. Guests purchase tickets to attend.
EarnOn Events uses a geofenced check-in system and an escrow-based payout model: money paid for a ticket is held by EarnOn until 48 hours after the event ends, not paid to the host immediately. This is core to how the Platform works and is described fully in Section 3.
Using our Platform involves meeting people in the real world at a physical location. We can't control what happens there, and we are not responsible for it. Use common sense and good judgment when attending or hosting an event.
Your Content and the Content of Others
You are responsible for your "Content" — anything you post, including event listings, photos, videos, reviews, and messages. Your Content must comply with these Terms, our Payment & Refund Policy, our Community Guidelines, and our Host Standards. We don't own your Content, but you grant us a license to use it to operate, improve, and promote the Platform.
Our Platform
We work hard to keep the Platform available and reliable but cannot guarantee it will always be. We continually improve the Platform, which may mean we modify or discontinue parts of it.
By using the Platform, you agree to the limitations of liability and dispute resolution terms below, including mandatory arbitration for most disputes (unless you're based in a jurisdiction where this isn't permitted, as described in Section 9).

Our Terms of Service contain important information about your legal rights. To make this easier to understand, we've included plain-language summaries above each section. These summaries are for convenience only and are not part of the binding terms — read the full section language carefully.
1. This Agreement
Summary: You agree to follow the rules described in these Terms when using EarnOn Events. We may change these rules from time to time.
1.1 The Agreement. EarnOn enables hosts to list physical, real-world events and guests to purchase tickets to attend them. "EarnOn," "we," "us," and "our" refer to Bizionic Technologies Midwest INC and our affiliates, including Bizionic Technologies Pvt Ltd. "You" and "your" refer to any person using our Platform, whether as a host, guest, or otherwise, and any organization using the Platform on whose behalf a person acts. "Platform" means any EarnOn website, application, or service, including EarnOn Events specifically. We use "Terms of Service" and "Agreement" to mean this document together with our Payment & Refund Policy, Community Guidelines, Host Standards, and Trademark Guidelines. Using the Platform means you agree to this Agreement. If you're using the Platform on behalf of an organization, you represent that you have authority to bind that organization. If you don't agree, do not use the Platform.
1.2 Revisions to this Agreement. We may modify this Agreement. When we do, we'll update the date at the top of this page and, for material changes, notify you by email or a prominent in-app notice. Continuing to use the Platform after changes take effect means you accept the revised Agreement. If you don't accept it, you may close your account.
2. Your Account
Summary: You must be at least 18 to use EarnOn Events. Hosts control their own event listings within our rules. We may remove Content or suspend accounts that violate this Agreement.
2.1 Eligibility. Our Platform is available to anyone at least 18 years old. You represent that you meet this requirement. Individual events may set additional restrictions — for example, a host may mark an event 21+, in which case you must also meet that event's stated minimum age to purchase a ticket or check in.
2.2 Restriction or Removal of Content; Account Actions. We may restrict or remove your Content, or suspend or terminate your account, if we reasonably determine you've violated this Agreement, including our Payment & Refund Policy or Host Standards, or if doing so is necessary to protect the EarnOn community or Platform. Where required by law, we'll notify you of the reason. We may also withhold or freeze a host's pending payout if an event is under dispute review, as described in Section 3. If you believe an action was taken in error, contact us through in-app support.
A host also has the ability, within their own event, to decline join requests, remove ticket holders (subject to our refund obligations in the Payment & Refund Policy), or set their own event rules — but a host cannot override the Platform-level rules in this Agreement.
2.3 Account Information and Security. Keep your account details current and your password secure. You are responsible for activity on your account resulting from your failure to keep it secure, including sharing your login credentials. If you suspect unauthorized access, contact our Trust & Safety team immediately through in-app support.
2.4 License to the Platform. Subject to your compliance with this Agreement, EarnOn grants you a limited, non-exclusive, revocable, non-transferable right to use the Platform to access the features made available to you.
3. Payments, Escrow, and Fees
Summary: Ticket payments are made in EAON tokens through our integrated wallet. Money you pay for a ticket is held in escrow — not sent to the host immediately — and releases automatically 48 hours after the event ends, minus a platform fee, unless a dispute is open. Hosts pay a one-time listing fee to publish an event. Refunds are governed by our separate Payment & Refund Policy.
3.1 How Ticket Payments Work. When you purchase a ticket, the full amount — ticket price, any add-ons, and a buyer processing fee — is charged to your EAON wallet and placed into escrow. It is not paid to the host at the time of purchase. Escrow releases to the host automatically 48 hours after the event's scheduled end time, minus EarnOn's platform fee, provided no dispute is open on that ticket. Full mechanics, including what happens on cancellation, reschedule, or low check-in turnout, are set out in our Payment & Refund Policy, which is part of this Agreement.
3.2 Listing Fees Charged by EarnOn. To publish an event, a host pays a one-time listing fee, calculated as a percentage of the event's maximum possible revenue (or a flat fee for free events), shown to the host before payment. Listing fees are non-refundable once the event is published, except where EarnOn cancels or removes the listing through no fault of the host.
3.3 Fees Set by Hosts. Hosts set ticket prices, tier structure, and any optional add-ons for their own events, within limits EarnOn may impose (for example, resale price caps on ticket transfers, described in our Payment & Refund Policy). EarnOn is not a party to what a host chooses to charge, but reserves the right to require refunds under the circumstances described in our Payment & Refund Policy.
3.4 Payments to EarnOn. You represent that you're authorized to use the wallet or payment method associated with your account. You authorize us and our payment processing partner to charge that method for any fees you owe, including applicable taxes. If a payment method can't be verified or is otherwise unacceptable to us, we may suspend the related transaction.
3.5 Third-Party Payment Processing. Ticket payments and payouts are processed through EarnOn's integrated wallet, operated in partnership with a third-party payment processor. That processor's own terms apply to the underlying payment rails. EarnOn is not liable for the payment processor's acts or omissions, though we remain responsible to you for the escrow and payout mechanics described in Section 3.1.
3.6 No Recurring Subscriptions. Unlike some platforms, EarnOn Events does not charge recurring membership dues. Every payment is tied to a specific ticket for a specific event, or a specific event listing fee paid once by the host. There is no auto-renewing subscription to cancel.
4. Your Content and Privacy
Summary: You're responsible for what you post — event listings, photos, reviews, messages. You grant us a license to use it to run and promote the Platform. Our Privacy Policy explains how we handle your personal data, including location data collected during check-in.
4.1 Your Content. "Content" means anything you post to the Platform or send to us, including event listings, descriptions, photos and videos (including post-event proof media), reviews, messages, and feedback. By posting Content, you represent that:
- You have all rights necessary to post it;
- It doesn't contain private or confidential information belonging to others that you're not authorized to share;
- It's not illegal and doesn't violate any applicable law; and
- It doesn't violate the rights of any individual or entity.
You agree your Content complies with this Agreement, our Community Guidelines, and our Host Standards.
4.2 Content License from You. We don't claim ownership of your Content. To operate, improve, and promote EarnOn, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, store, reproduce, modify, publish, and display your Content in connection with the Platform. This license survives your account closure, since Content already posted (for example, a review on a completed event) may need to remain visible to others.
4.3 Privacy and Location Data. EarnOn Events collects location data specifically for the geofence check-in feature — confirming you're physically present at an event's venue before issuing a check-in credential. This data is used only for that verification purpose and any related dispute review. Our Privacy Policy explains this and all other data collection in full detail.
5. Using the Platform
Summary: Follow our policies and applicable law. We're not liable for what other members post or for what happens between hosts and guests at an event, but we do moderate reports and take action on violations.
5.1 Applicable Policies and Laws. You agree to follow our Community Guidelines, Host Standards, and Payment & Refund Policy, and to comply with applicable law and the rights of third parties. Where a specific feature has its own additional terms, those govern in case of conflict, unless stated otherwise.
If you don't comply, we may restrict your Content or suspend or terminate your account, and will where required by law explain why. To appeal, contact us through in-app support.
5.2 Content and Conduct of Others. EarnOn does not control what hosts list or what guests post. We review reports and may take action, but we're not liable for the Content or conduct of other members. EarnOn does not conduct background checks on hosts or guests and does not verify the truth of statements made in event listings, beyond the verification steps described in our Host Standards (for example, host identity verification tiers).
If you encounter Content or conduct that violates this Agreement — including a misleading listing, fraud, or a safety concern — report it via Raise an issue on the relevant ticket, or through our general reporting flow. Reports are reviewed by our Trust & Safety team.
5.3 Prohibited Uses. You agree not to, directly or indirectly: (a) reproduce, modify, or create derivative works of the Platform outside what this Agreement permits; (b) reverse-engineer or attempt to extract the Platform's source code; (c) use the Platform for commercial purposes not contemplated by this Agreement; (d) scrape or extract data from the Platform at scale; or (e) interfere with or impose undue burden on the Platform's systems. You also agree not to list, sell tickets for, or otherwise use EarnOn's payment processing for any of the categories prohibited under our Payment & Refund Policy (Section 1: Prohibited Payments).
5.4 Platform Modifications. We may modify or discontinue parts of the Platform, with or without notice, without liability to you.
5.5 Third-Party Sites and Services. The Platform may link to or integrate with third-party services (for example, mapping services for event locations). We don't control and aren't responsible for these third parties, whose own terms will govern your use of them.
6. Release
Summary: To the extent the law allows, you agree not to hold us responsible for what happens at a real-world event, in transactions between hosts and guests, or through your interactions with other members.
To the fullest extent permitted by law, you release EarnOn and our officers, employees, affiliates, and corporate parent ("EarnOn Parties") from claims and damages arising out of or connected to any transaction with another member, your interactions with other members, or your attendance at or hosting of an event. You similarly release hosts from claims based on a host's negligence connected to their event, except where EarnOn's own escrow, dispute, or refund obligations under Section 3 and our Payment & Refund Policy apply.
You acknowledge that physical events carry inherent risks, including risk of injury. By attending or hosting an event through EarnOn, you understand and accept these risks.
7. Indemnification
Summary: If we're sued because of something you did on the Platform, you agree to cover our costs.
To the fullest extent permitted by law, you agree to indemnify and hold EarnOn Parties harmless from third-party claims arising from: (a) your violation of this Agreement; (b) your misuse of the Platform; (c) your Content; (d) your violation of any law or third-party right; or (e) your conduct at or in connection with an event. You agree to promptly notify us of such claims and cooperate in their defense.
8. Warranty Disclaimer and Limitation of Liability
Summary: The Platform is provided "as is." Our liability is limited to the fees you paid us in the past 12 months, or $100, whichever is greater — except this cap does not limit our escrow and refund obligations under Section 3 and our Payment & Refund Policy.
8.1 Warranty Disclaimer. To the fullest extent permitted by law, EarnOn disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and makes no warranty regarding the reliability, accuracy, or availability of the Platform.
8.2 Limitation of Liability. To the fullest extent permitted by law, EarnOn Parties are not liable for indirect, incidental, special, or consequential damages arising from your use of the Platform, your attendance at or hosting of an event, or your interactions with other members. Our total liability to you is limited to the greater of $100 (or the equivalent in EAON) or the fees you paid us in the 12 months before the claim arose.
This limitation does not apply to EarnOn's escrow-holding and payout obligations described in Section 3, or to our documented refund obligations under the Payment & Refund Policy — those are contractual commitments, not subject to this general liability cap. This section also does not limit liability for our gross negligence, fraud, or intentional misconduct.
9. Dispute Resolution
Summary: Try to resolve disputes with us directly first. If that fails, most disputes go to binding arbitration instead of court, and can only be brought individually, not as a class action. This does not apply to payment disputes over a specific ticket, which follow the escalation path in our Payment & Refund Policy instead.
9.1 Payment Disputes Are Handled Separately. Disputes over a specific ticket purchase — including refund eligibility, escrow release, or a "Raise an issue" case — are resolved through the process described in our Payment & Refund Policy, not through the arbitration process below. That process includes review by our Trust & Safety team and is generally faster than formal arbitration.
9.2 Informal Resolution for All Other Disputes. For any other dispute arising from this Agreement, you and EarnOn agree to first attempt good-faith resolution. Either party may initiate this by written notice describing the dispute. If unresolved within 30 business days, either party may proceed as described below.
9.3 Arbitration Agreement. Except as set out in Section 9.4, you agree to submit any other claim to binding arbitration rather than court, and both parties waive the right to a jury trial. This applies whether the claim arises during or after your use of the Platform.
9.4 Exceptions. Either party may bring a qualifying claim in small claims court, or seek injunctive relief to protect intellectual property rights, pending arbitration.
9.5 Class Action Waiver. You agree to resolve disputes with EarnOn individually, not as a plaintiff or class member in a class or representative action.
9.6 Members in Jurisdictions with Additional Rights. If you're based somewhere that limits or prohibits mandatory arbitration for consumer disputes, the mandatory provisions of your local law apply instead, and nothing in this section overrides your statutory rights.
10. Intellectual Property
Summary: EarnOn's trademarks and platform are our property. Respect others' intellectual property; if you believe yours has been infringed, let us know.
10.1 EarnOn's Intellectual Property. EarnOn's trademarks, logos, and the Platform itself are our (or our licensors') intellectual property. You agree not to use them without our written consent, except as our Trademark Guidelines permit.
10.2 Others' Intellectual Property. We respect the intellectual property rights of others and expect the same from our members. We may remove Content that we believe infringes another's rights and may restrict access for repeat infringers. If you believe your rights have been violated, contact us through in-app support.
11. General Terms
11.1 Translation. This Agreement was written in English. If a translated version conflicts with the English version, English controls.
11.2 Notices. Notices to us should be sent through in-app support or to our registered legal contact. Notices to you will go to the email or in-app address associated with your account.
11.3 Entire Agreement. This Agreement, together with our Payment & Refund Policy, Community Guidelines, Host Standards, and Trademark Guidelines, is the entire agreement between you and EarnOn on this subject matter.
11.4 No Agency. Nothing in this Agreement creates a partnership, agency, or employment relationship between you and EarnOn. A member is not EarnOn's agent and cannot bind us to any agreement.
11.5 Governing Law. This Agreement is governed by the laws applicable to Bizionic Technologies Midwest INC's jurisdiction of incorporation, without regard to conflict-of-laws principles, except as Section 9 provides otherwise.
11.6 Assignment. You may not assign this Agreement without our written consent. We may assign it to an affiliate or in connection with a merger, acquisition, or sale of assets.
11.7 No Waiver. A failure to enforce any provision of this Agreement doesn't waive our right to enforce it later.
11.8 Severability. If a court finds any provision invalid, the rest of the Agreement remains in effect, and the invalid provision will be interpreted to reflect its original intent as closely as possible.
11.9 Termination and Survival. If your account is terminated, this Agreement ends with respect to that account, except Sections 3 (Payments, Escrow, and Fees), 4.2 (Content License), 4.3 (Privacy), 6 (Release), 7 (Indemnification), 8 (Liability), 9 (Dispute Resolution), and 11 (General Terms), which survive termination.
11.10 Titles. Section titles and summaries are for convenience only and have no legal effect.
11.11 Reporting Violations. Report violations of this Agreement through in-app support or the Raise an issue flow on the relevant event or ticket.
