1. INTRODUCTION, PURPOSE & LEGAL EFFECT

These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and EarnOn.ai governing your access to and use of the EarnOn.ai website, mobile applications, creator dashboards, APIs, tools, eWallet services, and all related products, features, and services (collectively, the "Platform").

For the purposes of these Terms, Bizionic Technologies Midwest Inc. and Bizionic Technologies Private Limited are collectively referred to as "EarnOn.ai", "we", "us", or "our".

By accessing, browsing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all applicable policies incorporated by reference.

If you do not agree to these Terms, you must immediately discontinue access to and use of the Platform.

 

2. STRUCTURE OF THE EARNON.AI AGREEMENT

Your relationship with EarnOn.ai is governed by a collection of legal documents that together form the "EarnOn.ai Agreement".

The EarnOn.ai Agreement includes:

1.    These Terms of Service (Master Agreement)

2.    Contract Between Subscriber and Creator

3.    Platform-to-Business Regulation Terms

4.    Referral Program Terms

5.    Complaints Policy

6.    E-Wallet Terms and Conditions

7.    Tax & Applicable Charges Policy

Additional policies, including but not limited to the Acceptable Use Policy, Refund Policy, DMCA Policy, Appeals Policy, Community Guidelines, Privacy Policy, and other platform rules, are incorporated into these Terms by reference.

In the event of any conflict between these Terms and any other policy, these Terms shall prevail unless applicable law requires otherwise.

 

3. NATURE OF THE PLATFORM & INTERMEDIARY STATUS

EarnOn.ai operates as a technology-enabled marketplace, creator monetization platform, and payment facilitation service that enables interactions between independent Users and Creators.

3.1 Services Provided

EarnOn.ai provides technology, infrastructure, and tools that enable:

• Creators to publish, distribute, and monetize digital content and services;

• Subscribers and users to access, purchase, or subscribe to such content and services;

• Subscription management and recurring billing functionality;

• E-Wallet services and transaction processing;

• Content discovery, recommendation, communication, and engagement features.

3.2 Intermediary Disclaimer

EarnOn.ai acts solely as an intermediary technology platform.

EarnOn.ai:

• Does not create, develop, produce, verify, monitor, endorse, or supervise Creator content;

• Does not employ, represent, or control Creators;

• Is not a party to contracts entered into between Subscribers and Creators;

• Does not guarantee the quality, legality, availability, accuracy, performance, or suitability of any content, service, or interaction.

All Creator interactions, transactions, communications, and relationships occur directly between independent Users acting on their own behalf.

 

4. ELIGIBILITY & ACCOUNT REGISTRATION

4.1 General Eligibility

To access or use the Platform, you must:

• Be at least 18 years of age;

• Possess the legal capacity to enter into binding agreements;

• Not be prohibited from using the Platform under any applicable law, sanction, or regulatory restriction;

• Provide accurate, complete, and current registration information;

• Comply with all applicable laws, regulations, and Platform policies.

EarnOn.ai reserves the right, at its sole discretion, to approve, reject, suspend, restrict, or terminate any account at any time.

4.2 Subscriber Accounts

Subscribers may:

• Register and maintain an account;

• Purchase subscriptions, content, services, or other offerings available through the Platform;

• Manage payment methods and billing information;

• Access content and services subject to applicable payment requirements.

4.3 Creator Accounts

Creators must additionally:

• Successfully complete identity verification and age verification requirements;

• Provide valid payout, tax, and compliance information;

• Independently determine pricing for their content and services;

• Upload and publish only lawful content;

• Comply with all applicable Platform policies, regulations, and legal obligations.

Failure to maintain eligibility requirements may result in account suspension, payout restrictions, content removal, or permanent account termination.

 

5. USER REPRESENTATIONS & OBLIGATIONS

By accessing or using the Platform, you represent, warrant, and agree that:

• All information submitted by you is accurate, complete, and up to date;

• You will not misuse, exploit, interfere with, or attempt to gain unauthorized access to the Platform;

• You will not circumvent fees, payment systems, security controls, moderation systems, or platform restrictions;

• You will comply with these Terms, all Platform policies, and all applicable laws and regulations.

You acknowledge and agree that you are solely responsible for your activities, conduct, communications, content, and use of the Platform.

 

6. CONTENT OWNERSHIP & RESPONSIBILITY

6.1 Ownership of Content

Creators retain all ownership rights, title, and interest in the content they create, upload, publish, or otherwise make available through the Platform.

Uploading or publishing content on EarnOn.ai does not transfer ownership of such content to EarnOn.ai.

6.2 Creator Responsibility

Creators are solely responsible for all content they upload, publish, distribute, or monetize through the Platform, including responsibility for:

• Compliance with applicable laws and regulations;

• Ownership of, or rights to use, all content and materials published;

• Intellectual property, copyright, trademark, publicity, and related rights;

• Obtaining all necessary permissions, licenses, authorizations, and consents;

• Ensuring content does not violate the rights of any third party.

EarnOn.ai does not routinely pre-screen, monitor, review, verify, or approve user-generated content and expressly disclaims responsibility for any content uploaded, published, or transmitted by Users or Creators.

 

7.  LICENSE GRANTED TO EARNON.AI

By uploading, publishing, transmitting, or otherwise making content available through the Platform, you grant EarnOn.ai a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, process, display, distribute, transmit, and otherwise use such content solely for the purposes of:

• Operating and maintaining the Platform;

• Providing Platform functionality and services;

• Protecting Platform security and integrity;

• Improving, developing, and enhancing Platform features;

• Complying with legal and regulatory obligations.

This license remains in effect for as long as reasonably necessary to operate the Platform and may survive account termination where required by law, dispute resolution, fraud prevention, compliance obligations, backup retention, or legitimate business purposes.

 

8. SUBSCRIPTIONS, PAYMENTS & PRICING

8.1 Payments

All payments made through the Platform are subject to the following terms:

a. Payments are processed through independent third-party payment processors and financial service providers.

b. EarnOn.ai retains a 10% platform fee from each successful Fan Payment or qualifying transaction processed through the Platform.

c. The remaining amount constitutes Creator Earnings and may be subject to applicable taxes, refunds, chargebacks, dispute resolutions, fraud reviews, compliance reviews, regulatory requirements, or policy enforcement actions.

d. Unless otherwise stated, all prices displayed on the Platform are denominated in United States Dollars (USD).

e. Applicable VAT, GST, sales taxes, withholding taxes, digital service taxes, or other legally required charges may be added where applicable.

f. By submitting payment information, you authorize EarnOn.ai and its payment providers to process recurring and one-time transactions associated with your account.

g. If a primary payment method fails, EarnOn.ai or its payment providers may attempt to process payment using another authorized payment method associated with your account where legally permitted.

8.2 Subscriptions

8.2.1 Subscription Structure

A Subscription is a recurring paid arrangement between a Subscriber and a Creator that grants access to subscription-based content, services, or benefits offered by the Creator.

Unless otherwise stated, subscriptions operate on a recurring 30-day billing cycle.

Creators independently determine subscription pricing and available subscription offerings.

Subscription access does not automatically include separately priced content, premium services, pay-per-view content, bookings, tips, gifts, or other paid offerings unless expressly stated.

8.2.2 Automatic Renewal

By selecting, purchasing, or activating a subscription, you acknowledge and agree that:

• Your subscription will automatically renew every 30 days;

• Renewal charges will be processed using your authorized payment method;

• Renewal will occur at the then-current subscription price plus applicable taxes and fees;

• You authorize recurring billing without requiring additional consent for each renewal.

Automatic renewal may not occur if:

• Payment authorization fails;

• The subscription is cancelled before the renewal date;

• Applicable law requires renewed consent due to pricing changes;

• The account is suspended, restricted, or terminated.

8.2.3 Cancellation

Subscribers may cancel a subscription at any time through their account settings.

Cancellation will:

• Prevent future recurring billing;

• Not affect charges already processed;

• Not entitle the Subscriber to refunds or prorated credits unless required by law;

• Permit continued access until the end of the active billing cycle.

Except where prohibited by law, all subscription payments are non-refundable once processed.

8.2.4 Refunds & Chargebacks

Subscription fees are generally non-refundable after successful processing.

Where a chargeback, payment dispute, reversal, or unauthorized transaction claim is initiated:

• Platform access may be suspended or restricted;

• Account privileges may be limited;

• Reversed amounts may be recovered from available wallet balances, pending payouts, or future earnings;

• Creator Earnings may be adjusted to reflect the disputed transaction.

EarnOn.ai reserves the right to permanently suspend or terminate accounts engaged in fraudulent, abusive, or bad-faith payment disputes.

8.2.5 Platform Role

Subscriptions represent a direct contractual arrangement between the Subscriber and the Creator.

EarnOn.ai acts solely as a technology and payment facilitation platform and is not a party to the underlying agreement between Subscribers and Creators.

Creators remain solely responsible for fulfilling subscription-related obligations, delivering promised content, and complying with applicable laws.

 

9.  E-WALLET

The EarnOn.ai E-Wallet is a closed-loop stored-value system designed to facilitate transactions within the Platform ecosystem.

The E-Wallet:

• Is not a bank account;

• Is not a deposit account;

• Does not earn interest;

• Does not provide investment or financial services;

• Is governed by separate E-Wallet Terms and Conditions.

EarnOn.ai reserves the right to suspend, restrict, freeze, reverse, or forfeit wallet balances where fraud, abuse, legal violations, regulatory requirements, or policy violations are identified.

 

10. CREATOR EARNINGS & PAYOUTS

Creator Earnings are subject to Platform settlement, verification, and compliance procedures.

EarnOn.ai may:

• Apply holding periods typically ranging from 5 to 21 days;

• Establish minimum payout thresholds;

• Delay payouts for fraud prevention, compliance reviews, dispute investigations, or regulatory obligations;

• Offset chargebacks, refunds, reversals, penalties, or outstanding liabilities against Creator balances;

• Withhold payouts where legally required.

Once a payout has been successfully processed, it is considered final and irreversible except where required by law.

 

11. TAX COMPLIANCE

Users and Creators are solely responsible for determining, reporting, filing, and paying any taxes arising from their use of the Platform.

EarnOn.ai may collect, verify, report, withhold, remit, or disclose tax-related information where required by applicable law or regulatory authorities.

EarnOn.ai does not provide legal, accounting, financial, or tax advice. Users should consult qualified professional advisors regarding their individual tax obligations.

 

12. SUSPENSION & TERMINATION

EarnOn.ai reserves the right, at its sole discretion, to suspend, restrict, disable, or terminate any account, content, service, payout, transaction, or Platform access where necessary.

Such action may be taken for reasons including:

• Violation of these Terms or Platform policies;

• Suspected fraud, abuse, deceptive conduct, or unlawful activity;

• Regulatory, legal, compliance, or law-enforcement requirements;

• Protection of Users, Creators, the Platform, or third parties;

• Failure to satisfy eligibility or verification requirements.

Where permitted by law, EarnOn.ai may take such action with or without prior notice.

Any earnings, credits, incentives, or benefits derived from fraudulent, unlawful, abusive, or prohibited activity may be withheld, reversed, forfeited, or permanently removed.

 

13. PLATFORM INTELLECTUAL PROPERTY

Except for content owned by Users or Creators, all rights, title, and interests in and to the Platform, including its software, source code, technology, systems, databases, user interfaces, designs, trademarks, logos, branding, content, features, functionality, and infrastructure, are owned by or licensed to EarnOn.ai.

Nothing contained within the Platform grants any User, Creator, Subscriber, or third party any ownership rights, intellectual property rights, or other proprietary interests in the Platform except as expressly stated in these Terms.

Users may not copy, modify, distribute, reverse engineer, decompile, reproduce, sell, lease, license, exploit, or otherwise use any part of the Platform except as expressly authorized by EarnOn.ai.

 

14. DISCLAIMERS

The Platform is provided on an "as is", "as available", and "with all faults" basis.

To the maximum extent permitted by applicable law, EarnOn.ai disclaims all warranties, representations, guarantees, and conditions of any kind, whether express, implied, statutory, or otherwise, including warranties of:

• Merchantability;

• Fitness for a particular purpose;

• Non-infringement;

• Accuracy, reliability, or completeness;

• Availability, uninterrupted access, or error-free operation.

EarnOn.ai does not warrant that:

• The Platform will always be available or accessible;

• Content will be accurate, complete, or current;

• Services will meet User expectations;

• The Platform will be free from errors, interruptions, viruses, malware, or other harmful components.

Use of the Platform is entirely at your own risk.

 

15. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, EarnOn.ai, its affiliates, officers, directors, employees, contractors, licensors, partners, and service providers shall not be liable for any:

• Indirect damages;

• Incidental damages;

• Consequential damages;

• Special damages;

• Punitive damages;

• Exemplary damages;

• Loss of profits;

• Loss of revenue;

• Loss of data;

• Business interruption;

• Reputational harm;

• Loss arising from Creator content, User conduct, or third-party actions.

EarnOn.ai does not guarantee continuous availability, uninterrupted operation, or error-free access to the Platform.

To the maximum extent permitted by law, EarnOn.ai's total aggregate liability arising out of or relating to the Platform, these Terms, or any related service shall not exceed the total amount paid by the User to EarnOn.ai during the six (6) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded under applicable law.

Mandatory consumer rights and protections remain unaffected.

 

16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless EarnOn.ai, its affiliates, subsidiaries, officers, directors, employees, contractors, agents, licensors, and partners from and against any claims, actions, liabilities, damages, judgments, losses, penalties, costs, expenses, and legal fees arising out of or relating to:

• Your use of the Platform;

• Your content, services, products, or activities;

• Your violation of these Terms or Platform policies;

• Your violation of any law, regulation, or governmental requirement;

• Your infringement or alleged infringement of any third-party rights, including intellectual property, privacy, publicity, or contractual rights.

EarnOn.ai reserves the right to assume exclusive control of any matter subject to indemnification, and you agree to cooperate fully in the defense of such claims.

 

17. MODIFICATIONS

EarnOn.ai reserves the right to update, modify, amend, replace, or discontinue these Terms, Platform features, services, policies, pricing structures, or operational procedures at any time.

Updated Terms will become effective upon publication on the Platform unless otherwise required by law.

Your continued access to or use of the Platform after any modification becomes effective constitutes your acceptance of the revised Terms.

If you do not agree to any modification, you must discontinue use of the Platform.

 

18. GOVERNING LAW & DISPUTE RESOLUTION

India

For Users accessing the Platform through EarnOn.ai's India operations:

• These Terms shall be governed by and construed in accordance with the laws of India;

• Any dispute arising out of or relating to these Terms shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996;

• The seat and venue of arbitration shall be Hyderabad, Telangana, India;

• Proceedings shall be conducted in the English language.

United States & Global Operations

For Users accessing the Platform through EarnOn.ai's United States and global operations:

• These Terms shall be governed by the laws of the State of Illinois, without regard to conflict-of-law principles;

• Courts located in Chicago, Illinois shall have exclusive jurisdiction over disputes not subject to arbitration or where arbitration is unenforceable;

• Mandatory consumer rights and protections available under applicable law shall continue to apply.

Nothing in this section limits any non-waivable rights granted under applicable consumer protection laws.

 

19. ASSIGNMENT & SEVERABILITY

You may not assign, transfer, delegate, sublicense, or otherwise transfer any rights or obligations under these Terms without the prior written consent of EarnOn.ai.

EarnOn.ai may assign, transfer, delegate, or otherwise transfer its rights and obligations under these Terms without restriction.

If any provision of these Terms is determined to be invalid, unlawful, unenforceable, or void, that provision shall be severed from the remaining provisions, and the remainder of the Terms shall remain fully valid and enforceable.

 

20. ENTIRE AGREEMENT

These Terms, together with all policies, agreements, notices, and documents incorporated by reference, constitute the complete and entire agreement between you and EarnOn.ai concerning your use of the Platform.

These Terms supersede and replace all prior agreements, understandings, negotiations, representations, communications, and arrangements relating to the subject matter herein.

No waiver of any provision shall be deemed a continuing waiver unless expressly stated in writing by EarnOn.ai.
