Terms & Conditions

⚠  These Terms govern all EAON token rewards issued through EarnOn. Participation constitutes full acceptance. EarnOn reserves the right to modify, suspend, or terminate rewards at its sole discretion.

In these Terms the following definitions apply:

• "EarnOn" or "Platform" means EarnOn.ai, operated by Bizionic Technologies Midwest Inc., Chicago, Illinois, USA.

• "EAON Token" means the digital utility token issued by EarnOn as a closed-loop reward currency. EAON is not legal tender, not a security, and not redeemable for fiat currency directly through the Platform.

• "Creator" means a user who has completed EarnOn creator verification (V1 or V2) and been approved to publish monetised content.

• "Subscriber" means a user who has entered into a paid annual subscription with a Creator at or above the minimum subscription rate.

• "Annual Subscription" means a recurring 12-month paid subscription at a minimum rate of USD $25 per month (USD $300 per year), billed annually upfront.

• "Qualifying Activity" means a post, like milestone, or Annual Subscription event that meets all eligibility criteria in these Terms.

• "Fraudulent Activity" means any act intended to artificially inflate rewards, including self-subscription, coordinated fake engagement, multi-account abuse, subscription farming, or bot activity.

• "Daily Reward Cap" means the maximum EAON a Creator may earn in a single calendar day across all reward categories.

• "Holding Period" means the mandatory period after which earned EAON becomes transferable or withdrawable.

2.1  EAON rewards are exclusively available to verified EarnOn Creators. Regular users (subscribers / fans) are not eligible.

2.2  To be eligible a Creator must:

• Have completed and passed EarnOn Creator Verification (V1 minimum);

• Have maintained an active Creator account for a minimum of 7 days since verification approval;

• Maintain an account in good standing with no active suspension, block, or policy violation flags;

• Publish content that complies with EarnOn's Content Policy and Community Guidelines;

• Not be subject to any ongoing fraud investigation by EarnOn or any law enforcement body.

2.3  EarnOn reserves the right to alter, restrict, or withdraw eligibility at any time without prior notice.

3.1  Standard Reward Rates

The following rates apply subject to all eligibility, quality, and fraud controls set out in these Terms:

*USD equivalent based on 1 EAON = $0.377 (indicative rate only, subject to change without notice).

3.2  Daily Reward Cap

A Creator may earn a maximum of 1,025 EAON per calendar day across all reward categories combined. Any qualifying activity beyond this cap will not generate additional rewards for that day. Caps reset at 00:00 UTC.

3.3  Holding Period

All EAON tokens earned through the Reward Programme are subject to a mandatory 7-day holding period from the date of credit. Tokens are not transferable, withdrawable, or exchangeable during this period. EarnOn may extend the holding period at its discretion for any account under review.

3.4  Engagement Threshold for Post Rewards

A post must receive a minimum of 1 genuine like from an eligible account within 24 hours of publication to qualify for the 1 EAON post reward. Posts that do not meet this threshold within 24 hours are not eligible for the reward and will not be reconsidered.

3.5  Content Quality Minimum

To qualify for a post reward, a post must meet all of the following minimum standards:

• Text posts: minimum 50 characters of original content;

• Video posts: minimum 15 seconds in duration;

• Image posts: must contain original, non-duplicate imagery;

• The post must be publicly visible and not set to private, draft, or restricted;

• The post must not be a repost, duplicate, or near-duplicate of a previous post by the same Creator.

4.1  Minimum Subscription Requirement

The 100 EAON subscription reward is only triggered by an Annual Subscription at or above the minimum rate of USD $25 per month (USD $300 per year), billed as a single annual payment upfront.

4.2  Subscription Reward Conditions

The 100 EAON subscription reward is subject to the following additional conditions:

• The subscribing account must have been active on EarnOn for a minimum of 14 days prior to the subscription date;

• The subscription must remain active and in good standing for a minimum of 30 days before the 100 EAON reward is credited to the Creator's wallet;

• Only one subscription reward per Subscriber per Creator per rolling 12-month period. Re-subscription by the same Subscriber to the same Creator within 12 months does not trigger a new reward;

• Subscriptions originating from the same device, IP address, or payment method as the Creator's account are automatically disqualified;

• Subscriptions that are cancelled, reversed, or charged back before the 30-day holding period expires result in immediate forfeiture of the pending 100 EAON reward;

• EarnOn reserves the right to delay reward credit pending verification of subscription legitimacy.

4.3  No Refund on Subscription

Annual Subscriptions are non-refundable once the 30-day reward credit period has elapsed. Cancellation after this period terminates future renewal only; no pro-rated refund is issued. This policy applies regardless of whether the Creator's account remains active.

4.4  Subscription Velocity Cap

A Creator may earn a maximum of 10 subscription rewards (1,000 EAON) per calendar day. Subscriptions in excess of this cap on a given day will not generate additional rewards for that day.

5.1  Prohibited Posting Conduct

The following posting behaviours are prohibited and will result in reward disqualification, account review, and/or account termination:

• publishing multiple posts within a short timeframe with the primary intent of generating EAON rewards rather than creating genuine content;Spam posting:

• publishing content with no meaningful value — including blank posts, single-character posts, placeholder text, or posts consisting solely of emoji or symbols;Junk posting:

• publishing the same or substantially similar content repeatedly across multiple posts;Duplicate posting:

• reposting previously published content, whether by the same Creator or sourced from third parties, without significant original additions;Recycled content:

• publishing content with the sole intent of meeting the minimum post threshold for reward eligibility without genuine audience value;Reward-farming posts:

• participating in arrangements where multiple accounts post, like, or engage with each other's content primarily to trigger reward milestones.Coordinated posting rings:

5.2  Posting Cooldown

A minimum interval of 30 minutes is required between reward-eligible posts. Posts published within 30 minutes of a preceding rewarded post will not qualify for the 1 EAON post reward.

5.3  Automated Detection

EarnOn employs automated systems to detect spam and junk posting patterns, including but not limited to: posting velocity analysis, content similarity scoring, duplicate image detection, and engagement ratio analysis. Accounts flagged by these systems are subject to immediate reward suspension pending manual review.

6.1  EarnOn operates a zero-tolerance policy for fraudulent activity. The following conduct is strictly prohibited:

• subscribing to your own creator account using any payment method, device, account identity, or proxy;Self-subscription:

• creating or operating multiple EarnOn accounts to generate artificial rewards;Multi-account abuse:

• organising, purchasing, or participating in schemes to artificially inflate likes, views, subscriptions, or other metrics;Coordinated fake engagement:

• paying, incentivising, or coercing individuals to subscribe for the purpose of earning the subscription reward;Subscription farming:

• using automated scripts, bots, or non-human interaction to trigger qualifying activities;Bot activity:

• subscribing, cancelling, and re-subscribing to trigger repeated subscription rewards;Recycled subscriptions:

• using another person's identity, payment method, or device;Identity fraud:

• using emulators, VPNs, proxy servers, or device spoofing tools to circumvent fraud detection;Device spoofing:

• coordinating with other users, Creators, or third parties to exploit the Reward Programme.Collusion:

6.2  Device & Account Controls

• Only one reward-eligible Creator account is permitted per device. Additional accounts on the same device are ineligible for rewards;

• Accounts accessed from jailbroken or rooted devices are automatically flagged for review;

• Accounts sharing an IP address, device fingerprint, or payment method with a Subscriber to that same Creator account are ineligible for the subscription reward;

• EarnOn reserves the right to require additional identity verification (KYC) at any time.

7.1  EarnOn reserves the following rights, exercisable at its sole discretion with or without prior notice:

• decline to credit EAON for any activity determined to be fraudulent, suspicious, or policy-violating;Refuse to issue:

• place a hold on credited but unsettled EAON pending investigation;Withhold pending rewards:

• reverse, deduct, or cancel EAON already credited if earned through Fraudulent Activity;Clawback credited tokens:

• temporarily or permanently restrict a Creator's ability to transfer, withdraw, or use EAON;Freeze wallet access:

• permanently disqualify a Creator from the Reward Programme;Terminate participation:

• change, reduce, or eliminate reward rates for any qualifying activity at any time, including retroactively for queued but uncredited rewards;Modify reward rates:

• adjust daily caps, holding periods, and eligibility thresholds at any time;Modify reward caps:

• suspend or terminate the Reward Programme in whole or in part at any time;Suspend the programme:

• audit any Creator's account, posting history, subscription data, device records, and engagement metrics at any time without notice.Right to audit:

8.1  When EarnOn suspects Fraudulent Activity the following process applies:

• EarnOn's Trust & Safety team will conduct an internal review. The Creator may or may not be notified during this phase;

• EarnOn may request information from the Creator including identity verification, payment records, or device information. Failure to cooperate within 7 days of request is grounds for permanent disqualification;

• EarnOn's findings and decisions following an investigation are final. Creators may submit a written reconsideration request to legal@earnon.ai within 30 days of notification;

• EarnOn may report confirmed Fraudulent Activity to relevant law enforcement and financial institutions.

9.1  EAON tokens earned through the Reward Programme are subject to:

• A minimum 7-day holding period from the date of credit before tokens are eligible for transfer or exchange;

• A minimum 30-day account age before any withdrawal request will be processed;

• KYC verification requirements for withdrawals above 500 EAON;

• Daily withdrawal caps as set by EarnOn from time to time;

• EarnOn's right to block, delay, or reverse any withdrawal if underlying tokens are suspected to have been fraudulently earned.

9.2  EAON is a closed-loop utility token. EarnOn does not guarantee liquidity, exchangeability, or any specific monetary value.

10.1  EarnOn maintains separate wallet buckets for:

• Earned EAON: tokens credited through the Reward Programme;

• Purchased EAON: tokens acquired through EarnOn's seed phase or token purchase mechanism.

10.2  Clawbacks and holds initiated under these Terms apply exclusively to the Earned EAON bucket and do not affect Purchased EAON unless a separate fraud determination is made.

11.1  Upon account termination or suspension for violation of these Terms or EarnOn's general Terms of Service:

• All pending, held, or uncredited EAON reward credits are immediately forfeited;

• EarnOn may cancel EAON already credited to the Creator's wallet if termination relates to Fraudulent Activity;

• No compensation is payable for forfeited tokens.

12.1  Creators are solely responsible for determining and fulfilling all tax obligations arising from EAON tokens received through the Reward Programme, including income tax, capital gains tax, and any other applicable taxes in their jurisdiction.

12.2  EarnOn does not provide tax advice. Creators should consult a qualified tax adviser regarding their obligations.

12.3  EarnOn reserves the right to withhold or report reward payments as required by applicable law.

13.1  The Reward Programme may not be available in all jurisdictions. EarnOn reserves the right to exclude any country or region from participation at any time.

13.2  It is the Creator's responsibility to ensure that participation in the Reward Programme is lawful in their jurisdiction. EarnOn accepts no liability for creators participating in breach of local law.

14.1  EAON tokens have no guaranteed monetary value. EarnOn makes no warranty regarding value, liquidity, or exchangeability.

14.2  EarnOn's total liability to any Creator arising from the Reward Programme shall not exceed USD $50 in aggregate.

14.3  EarnOn shall not be liable for any loss of anticipated rewards, loss of profits, or any indirect or consequential loss arising from the suspension, modification, or termination of the Reward Programme.

15.1  These Terms are governed by the laws of the State of Illinois, United States of America.

15.2  Any dispute shall be subject to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Seat: Chicago, Illinois. Language: English.

15.3  Creators waive the right to participate in any class action lawsuit or class-wide arbitration relating to EAON tokens or the Reward Programme.

16.1  EarnOn may amend these Terms at any time by posting the updated version on the Platform. Continued participation constitutes acceptance of the updated Terms.

16.2  Material changes will be communicated to active Creators via email or in-app notification where reasonably practicable.

16.3  The Reward Programme may be terminated by EarnOn with a minimum of 30 days' notice to active participants, except where immediate termination is required due to legal, regulatory, or fraud-related reasons.
